Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, cyber attacks, internet outages, or pandemics.
9. Termination

- Either party may terminate services with 30 days written notice (unless otherwise specified)
- We may terminate immediately for non-payment, breach of terms, or security violations
- Clients may terminate for cause with immediate effect
9.2 Post-Termination
- We will provide reasonable assistance in transitioning services to another provider
- Client data will be securely returned or destroyed as requested
- Outstanding invoices remain due after termination
- Confidentiality obligations survive termination
10. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of India. Any disputes shall be resolved through:
- Good faith negotiations between the parties
- Mediation by a mutually agreed mediator
- Arbitration under the Indian Arbitration and Conciliation Act
- Courts located in India as a last resort
11. Changes to Terms
